This is a fairly standard, EU-law-governed SaaS agreement — not predatory, but it gives Sketch wide latitude to change terms, delete your data, and shift legal risk onto you, so read the fine print before committing a team's design workflow to it.
What you're agreeing to
You're agreeing to a Netherlands-based company's terms for the Sketch design platform, covering the Mac app, web app, and cloud Workspace storage. You keep ownership of your design Content, but you grant Sketch a broad, worldwide, transferable, sub-licensable right to use it for as long as needed to run the service, and any Feedback you give them becomes theirs to use however they want, forever, with no compensation or confidentiality owed to you.
Sketch can modify these Terms and its policies at any time without prior notice — you only find out when the change is posted or emailed to you, and your only recourse is to cancel. Sketch can also suspend or terminate your account immediately without notice if it believes you've breached the Agreement, and will delete your account and data 90 days after termination (or after 90 days of inactivity for non-Workspace licenses).
Liability is capped at what you paid Sketch in the preceding 12 months, and Sketch disclaims responsibility for lost profits, data loss, and similar indirect damages except in cases of gross negligence, willful misconduct, or death/injury (a mandatory carve-out under Dutch law). In exchange, you must indemnify Sketch broadly — including product liability claims, even ones alleging Sketch itself was negligent — for anything arising from your use of the platform or breach of the Agreement.
Disputes go exclusively to Dutch courts under Dutch law, and you and Sketch both waive certain statutory rights to unwind the contract (specific Dutch Civil Code provisions on rescission and mistake are excluded). There's no arbitration clause or class-action waiver, which is a point in the user's favor compared to many U.S. SaaS agreements.

Broad indemnification, including product-liability claims against Sketch itself
HighYou must cover Sketch's legal costs and damages even for claims alleging that Sketch was negligent in designing or building the platform — an unusually wide indemnity obligation for a user to accept.
any other act or omission by You, including but not limited to any product liability claims, even if such a claim alleges that Sketch B.V. was negligent regarding the design or manufacture of the Sketch Platform.
Terms can change without prior notice
MedSketch can modify the Terms and its policies at any time and you only learn about it after the fact via posting or email; your only option if you disagree is to terminate.
You acknowledge that these Terms and the Sketch Policies may be modified from time to time without prior notice to You.
Immediate suspension or termination without notice
MedSketch can cut off your access and end the Agreement instantly, without warning, based on its own belief that you've violated any term — potentially disrupting your business operations with no opportunity to respond first.
Sketch B.V. may suspend Your access to and Your use of the Sketch Platform and terminate this Agreement immediately in writing ... without prior written notice (i) if You fail to comply with any term(s) and conditions of the Agreement, (ii) on becoming aware of any potential violation of the Agreement.
Broad, transferable license over your Content
MedWhile you keep ownership, the license you grant Sketch is wider than a typical 'as needed to run the service' clause because it explicitly allows transfer and sub-licensing.
You grant Sketch B.V. a worldwide, non-exclusive, royalty-free, transferable license with a right to sub-license to use, reproduce, distribute, display and perform the Content to the extent required for the provision of the Sketch Platform.
Feedback becomes Sketch's property to exploit freely
MedAny suggestions or feedback you give — even if you mark it confidential — can be used, licensed, or sold by Sketch with no restrictions and no payment to you.
Sketch B.V. will be free to use, disclose, reproduce, license, or otherwise distribute or exploit the Feedback at its sole discretion without any obligations or restrictions of any kind, including without limitation, intellectual property rights or licensing obligations.
Data deleted 90 days after termination or inactivity
MedOnce your subscription ends (or if a non-Workspace license goes unused), Sketch can permanently delete your stored designs and data after just 90 days, so you need to actively export your work.
Sketch B.V. reserves the right to delete Your data and Content at its own choice: Within 90 days from the day that the Agreement is terminated pursuant to clause 14.
Waiver of statutory contract-unwinding rights
LowBoth parties give up certain Dutch legal protections that would otherwise let you rescind or annul the contract for mistake or serious breach, narrowing your legal remedies if things go wrong.
You and Sketch B.V. waive their rights to rescind or annul the Agreement. Articles 3:44, 6:228 and 6:265 of the Dutch Civil Code are excluded.
Exclusive jurisdiction in the Netherlands
LowAny legal dispute must be brought in a court in The Hague under Dutch law, which can be costly or impractical for users based far from the Netherlands.
any dispute between Sketch B.V. and You shall exclusively be submitted to the competent court in The Hague, the Netherlands.
